Member Conduct
You agree to not use the services to:

is unlawful, harmful, threatening, abusive, harassing,
tortuous, defamatory, vulgar, obscene, libelous, invasive
of another's privacy, hateful, or racially, ethnically,
or otherwise objectionable
- Harm minors in any way
- Impersonate any person or entity, including, but not
limited to, a IPW official, representative, or employee,
or falsely state or otherwise misrepresent your affiliation
with IPW
- Upload content that contains or contains links to nudity,
pornography, adult content, sex, or foul language
- Upload content that commits acts of copyright, trademark,
patent, trade secret, or other intellectual property infringement
- Collect or store personal data about other users
Indemnity
You agree to defend, indemnify, and hold IPW , and its subsidiaries, affiliates, officers, employees, agents, co-branders, or other partners, harmless from any action, claim, proceeding, demand, cost or expense, including reasonable attorneys' fees, from a third party due to or arising out of content you submit, your use of the services, your violation of the TERMS, or your violation of any rights of another party.
No Resale of Services
You agree not to reproduce, duplicate, copy, sell, resell, or exploit for any commercial purposes, any portion of the Services or Products.
Modifications to Services
IPW reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the services (or any part thereof) with or without notice. You agree that IPW shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the Services.
Termination
You agree that IPW shall not be liable to you or any third-party for any termination of your access to the Services. Upon termination of the Service, your right to use the Service and Software shall cease immediately.
Your Registration Obligations In consideration of your use of certain services offered on the site that may require registration, you agree to:
- provide true, accurate, current, and complete information
about yourself as prompted by the Service's registration
form (such information being the "Registration Data")
- maintain and promptly update the Registration Data to
keep it true, accurate, current, and complete.
If you provide any information that is untrue, inaccurate, not current or incomplete, or IPW has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, IPW has the right to suspend or terminate your account and refuse any and all current or future use of the Services (or any portion thereof). Notices to you may be made via either e-mail or regular mail. We may also provide notices of changes to the TERMS or other matters by displaying notices or links to notices to you generally on the website.
General Provisions
The MTS shall be governed by and construed in accordance with the laws of the state of New Jersey, excluding its conflict of law provisions. Member and IPW agree to submit to the exclusive jurisdiction of the courts of the state of New Jersey. If any provision(s) of the MTS is held by a court of competent jurisdiction to be contrary to law, then such provision(s) shall be construed, as nearly as possible, to reflect the intentions of the parties with the other provisions remaining in full force and effect. IPW 's failure to exercise or enforce any right or provision of the MTS shall not constitute a waiver of such right or provision unless acknowledged and agreed to by IPW in writing. Member and IPW agree that any lawsuit arising out of or related to this Service must commence within one (1) year after the cause of action arose; otherwise, such cause of action is permanently barred. The section titles in the MTS are solely used for the convenience of the parties and have no legal or contractual significance.
